Award General Service Agreement to Associated Consulting Civil & Environmental Services, Inc., (Los Angeles, CA), for fuel island maintenance, effective October 1, 2025, through September 30, 2030, for a total not-to-exceed amount of $168,300. This amount includes $93,300 in fixed costs and $75,000 in reserve allocated for unanticipated work and repairs, as needed. 2. Development Agreement and Purchase and Sale Agreement Amendments for Mixed-Use Project (The Lakes); Applicant: T.O. Lakes, LLC ORDINANCE APPROVING FIRST AMENDMENT TO DEVELOPMENT AGREEMENT DAGR-2021-70437 (CONTRACT NO. 13633-2024) (2200 EAST THOUSAND OAKS BOULEVARD; APPLICANT: T.O. LAKES, LLC) 1ST READING RECOMMENDATION: Read ordinance in title only, waive further reading, and if no objection, introduce ordinance to approve First Amendment to Development Agreement (DAGR-2021-70437/Contract No. 13633-2024) extending the term of the Agreement to March 29, 2031 (DAGR-2025-70002). Consider T.O. Lakes, LLC’s request for a third-year extension option related to the closing date for consideration as outlined below and choose one of the two following options: Option 1: Approve the Third Amendment to the Purchase and Sale Agreement and Joint Escrow Instructions (Contract No. 13146-2022) dated December 9, 2022, between City and T.O. Lakes, LLC, (T.O. Lakes) granting T.O. Lakes an option to extend the purchase date one additional year (from June 30, 2027 to June 30, 2028) in consideration of $100,000 monetary contribution to City by T.O. Lakes. If the third-year option is exercised by T.O. Lakes, direct monetary contribution by T.O Lakes to be used to fund the Navigation Center‘s annual operating expenditure gap for FY 2027-28. Option 2: Deny request by T.O. Lakes to amend the Purchase and Sale Agreement and Joint Escrow Instructions to provide a third one-year option to close escrow. 3. Find that amending the Development Agreement to extend the term of the Development Agreement, and, if applicable, amending the Purchase and Sale Agreement to extend the time to close escrow an additional year is/are exempt from the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines Section 15061(b)(3). Consideration of Transfer of Property to Conejo Recreation and Park District (524 West Janss Road) RESOLUTION AUTHORIZING CITY MANAGER TO NEGOTIATE TRANSFER OF 524 WEST JANSS ROAD TO CONEJO RECREATION AND PARK DISTRICT AND DECLARING PROPERTY EXEMPT SURPLUS LAND PURSUANT TO SURPLUS LAND ACT RECOMMENDATION: 1. Adopt resolution authorizing City Manager, or his designee, to negotiate the possible transfer of the City-owned property located at 524 West Janss Road (APN 552-003-412-5) to the Conejo Recreation and Park District (CRPD) for the development of community park and recreational facilities that are compatible with adjacent land uses and declare that the project site is “exempt surplus land,” contingent upon the transfer of the property to CRPD for their use, pursuant to California Government Code Section 54221(f)(1)(D). 2.
